At EDS Marketing we pride ourselves on building sound relationships with our clients, both for the duration of a project and for the future. We will always seek in the first instance to resolves issues informally with an emphasis on customer satisfaction, however our terms and conditions as set out below are useful for your reference. They also provide a good working framework for any project and establish a culture of expectation management between the client and EDSM.
Definitions
The Client : The company or individual requesting the services of EDS Marketing.
EDS Marketing: (EDSM) A partnership of independent creative professionals.
Point Of Contact (EDSM): One designated team member who will function as the primary liaison between EDSM and client.
Point Of Contact (Client): The individual designated by the company or client as the primary liaison with EDSM.
The Decision Maker: The individual determined by the company/ client to proof and sign off any design work prior to build or print.
Useful Terminology
URL (Uniform Resource Locator): Is a unique address identifying the location of a file on the internet. Your web site URL is your web site address.
Hosting and Servers: A web site must physically exist (or be 'hosted') somewhere to be accessible on the internet. These host computers are called servers and there are cost implications associated with these.
Wireframe: Site skeleton, structure and flow. Focuses on what the site does rather than what it looks like. A page schematic or blueprint that represents the skeletal framework of a site. The pages, headers, links and overall functionality, navigation and user experience.
White Label Pages: Part of the design process; focuses on what each page says, laid out without any design or colour but with the copy text on each page.
Keywords: The strategic placement of industry specific words that Google will pick up on. The placement in headers over paragraphs is hierarchal and requires careful consideration.
Search Engine Optimisation (SEO): An organic yet critical set of parameters by which Google will rank sites. Site design and function is always considered against the relevant SEO potential.
Content Management System (CMS): The level of client access to site once live.
Proof: (Design) Proposal material supplied to the client to be agreed or 'signed off' prior to committing to print or web site construction.
General
EDS Marketing (EDSM) will carry out work once an agreement (order) is provided either by email, telephone, or mail. An order is deemed to be a written or verbal contract between EDSM and the client, this includes telephone and email agreements.
A workflow will be provided and agreed along with starting dates. This will include a list of requirements by EDSM to the client such as site or brochure copy, extant logo artwork, URL information and tag-lines.
In order to keep a project on schedule the client is expected to supply material for inclusion in appropriate formats and within an agreed time frame.
EDSM will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
EDSM will seek to establish at the outset who is the primary decision maker on behalf of the company or client and each design stage must be signed off by this individual.
Respectfully, decisions taken at an intermediate level which are subsequently overturned by the primary decision maker and require a reworking as a result may extend schedule and costs.
Payment of Accounts
On acceptance of an order and once the total budget for works has been agreed, EDSM require a 50% deposit of the total sum payable prior to commencement of any works.
For the convenience of the client, EDSM will bill both deposit and balance as a single invoice unless independent works are agreed by one of the team.
The client will be obliged to pay the balance in full upon completion of works. |

Copyright
The web site, graphics and any programming code remain the property of EDS Marketing until all outstanding accounts are paid in full.
Any scripts, cgi applications, php scripts, or software (unless specifically agreed) written by EDSM remain the copyright of EDS Marketing and may not be commercially reproduced or resold.
EDSM cannot take responsibility for any copyright infringements caused by materials submitted by the client or used by the client in the future on their web site. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
All photographic images, design layouts, motifs and logos remain the property of EDSM until accounts are paid in full.
All photographic images remain the copyright of EDS Marketing and may not be commercially reproduced or resold.
Web site Design & Optimisation
Please note; additional detailed information on web sites, hosting, URLs, SEO and CMS will be supplied to the client as appropriate.
Whilst every endeavour will be made to ensure that the web site and any scripts or programs are free of errors, EDSM cannot accept responsibility for any losses incurred due to technical malfunction, server issues, the web site or any part of it.
EDSM will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
SEO: Due to external factors, such as changes to the way search engines rank web sites, we cannot offer any guarantees regarding the position we will achieve for web sites. The process of optimising web sites itself will bring in more traffic and hits and you'll see visits increase to your site naturally. We cannot accept liability for any change in rankings, or drop off in the position of your web site due to changes in the algorithms of the search engines or the factors that are used to rank web sites
EDSM will endeavour to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed across the primary browsers. We can offer no guarantees of correct function with all browser software as they constantly change. Similarly we will standardise for the most popular monitor resolutions however it must be stressed that colours, fonts and layouts will alter.
Photography
The quantity of photography achievable in a session will in part be determined by on-site factors such as accessibility, lighting and preparedness.
For product or pack-shot in volume, on-site assistance with unpacking and styling will greatly improve output.
Images will be shot on professional high resolution digital equipment in RAW format and archived by the photographer.
Images will be supplied as jpeg files suitable for print and where required, optimised for web.
All images remain the intellectual property of the photographer.
The photographer reserves the right to utilise the images for portfolio or library work and may request a model release from persons featured.
Design and Print
Design visuals and finished artwork remain the property of EDS
Marketing until all outstanding accounts are paid in full. Clients will be asked to ‘sign off’ artwork prior to printing. EDSM cannot be held liable should any errors be reported subsequently. EDSM will work with clients to rectify any issues to our mutual benefit.
Privacy
We do not share or sell any of your details with third party companies without your express permission. We will only email you or contact you about project specific matters.
